Terms and Conditions

1. Submission of Advertisements or Materials. Sponsor must submit its ad no later than 10 days prior to the first day of the starting month of the Sponsorship. If Sponsor hires Pyragraph to build its ad, it must submit a suitable logo and text no later than 15 days prior to the first day of the starting month of the Sponsorship.
2. Acceptance of Advertisements. Pyragraph may, at its sole discretion, reject any advertisements.
3. Positioning. Except as otherwise expressly provided in this Agreement, positioning of advertisements on Pyragraph.com is at the sole discretion of Pyragraph. Sponsor acknowledges that Pyragraph has not made any guarantees with respect to usage statistics or levels of impressions for any display advertisement.
4. Payment. For 1-month and 3-month Sponsorships, payment is due in full 10 days before the scheduled Sponsorship start date. For 6-month and 12-month Sponsorships, 50% is due 10 days before the scheduled Sponsorship start date; balance is due on the 25th day of the 2nd month (for 6-month term) or of the 4th month (for 12-month term) of the Sponsorship term. Any unpaid balance will be charged an additional 1.5% per month.
5. Taxes. All Sponsorship fees are subject New Mexico Gross Receipts Tax (GRT). In the event that any federal, state, or local taxes are imposed on the creation of the online advertising or on the sale of online advertising, such taxes shall be assumed and paid by Sponsor.
6. Cancellation. Sponsorships cancelled less than 30 days before the scheduled start date are subject to a 25% cancellation fee. Sponsorships cancelled less than 10 days before the scheduled start date are subject to a 50% cancellation fee. Sponsorships cancelled after Sponsorship begins will owe the full amount.
7. Indemnification. Sponsor assumes all risks and liabilities associated with its display advertisement and its content, and agrees to defend, hold harmless and indemnify Pyragraph from all suits, claims, liabilities, damages, costs and expenses of any nature — including but not limited to reasonable attorney’s fees — that arise from Pyragraph’s publication of Sponsor’s advertisement.
8. Limitation of Liability. Liability for typographical errors, wrong insertions, and/or non-publication, non-performance due to force majeure, and other disputes regarding the advertisement is limited to the amount charged to the Sponsor by Pyragraph for the applicable advertisement. Claims for an allowance for such matters must be made within seven (7) days of the matters first occurrence. Site downtime of less than 10 total hours per month shall not entitle Sponsor to any refund.
9. Representative Authority. Sponsor warrants that the Representative executing this Agreement has the legal authority to create an agreement binding upon Sponsor.
10. State Law. This agreement is governed by the laws of the State of New Mexico, USA.
